meetyoo conferencing GmbH Special Terms and Conditions
for use of Service Access Numbers (Date: 01.02.2007)

The following terms apply to the use of service access numbers, provided within the scope of the conference services f meetyoo conferencing GmbH (hereinafter "meetyoo"). Use of service telephone numbers is on the basis of the current version of the BGB for the use of service numbers,

the current price list and the Code of Good Added-Value Telephone Services Practice of the „Freiwillige Selbstkontrolle Telefonmehrwertdienste e.V.“ (voluntary self-regulating association of added-value telephone services). The client shall be notified of changes to the BGB in writing within four weeks.

2.1

meetyoo provides the client with different service numbers for use of the conference services provided by meetyoo. The service numbers offered for use are subject to the regulatory provisions of the "Bundesnetzagentur" (German Federal Network Agency). Call pricing is determined by the provisions of the Bundesnetzagentur and the tariff structure of the network provider used and its not within meetyoo´s sphere of influence.

2.2

meetyoo is entitled to make use of third parties as vicarious agents in order to fulfil its contractual obligations.

The client shall pay the charges caused by authorised or unauthorised use of meetyoo service numbers, provided the client is responsible for the use.

This especially applies to the use of free of charge service numbers.

4.1

The contractual relationship begins with the provision of the service (e.g. setting up a telephone number) and is for an indefinite period, unless agreed otherwise.

4.2

The contractual relationship can be terminated by both parties to the contract at the end of a calendar month. The notice period is one month. If an individual service number for the customer has been applied for from the Bundesnetzagentur, this contract is valid for a minimum period of 12 months. The contract must be terminated in written form.

All invoices are payable without deduction within 14 calendar days of receipt.

All objections to charges must be made in written form within one week of receiving the invoice at the latest. Otherwise the invoice shall be deemed to have been accepted.

7.1

If the client is in default of payment, meetyoo id entitled to refuse the client further use of the service numbers provided.

7.2

meetyoo reserves the right to make further claims resulting from the payment default. Interest on defaulted payment shall be incurred for overdue invoices from the date of due payment until payment is received at a rate equal to 2 % p.a. above the base interest rate of the European Central Bank.

8.1

meetyoo provides the technical systems and its services within the scope of the operational and technical possibilities. The client is aware that meetyoo can only provide the services subject to provision and availability of networks provided by subscriber network operators and the transmission paths made available by third parties. meetyoo does not provide any guarantee whatsoever for constant availability of the transmission paths.

8.2

meetyoo is only liable for losses which it, one of its legal representatives or one of its vicarious agents has caused wilfully or through gross negligence.

8.3

If meetyoo fails to provide the contractually assured services properly or not in time, liability and compensation are based on the invoiced amount for the service concerned. meetyoo is not liable for indirect or consequential losses such as loss of business, lost turnover or profits. meetyoo´s liability in each case is limited to € 50,000.

This contract is governed by German law: the juridical venue is Berlin-Charlottenburg.
